The Trust will enable that constant to make a major contribution to the future success of Heart of Midlothian Football Club. 14 February 2010: SOH Share UpdateAfter many, many months of frustration the problems with the SoH share issue appears to have finally been resolved and I hope the solution will meet with the approval of all the individuals involved.As you will be aware the main problem has been the rights of the 464 shareholders involved. The Trust felt that it was important that the rights and ability to transfer the shares was clear and that these details should be contained within the certificate issued. We have been trying to resolve this since all the shares were finally transferred in to the Trusts name. Following a series of meeting with Sergejus Fedotovas and others over the last fortnight it has been agreed that all 464 individuals will receive full Hearts shares and therefor be entitled to annual accounts and the right to attend the AGM. These shares will be transferred from the block shareholding to individuals. Arnoldas Nauseda who is working with Stewart Fraser at the club will be dealing with this. Over the next few weeks you will receive a SoH (Trust) Certificate. This will be a temporary certificate valid until the full Hearts shares are issued. Hearts will then send out a stock transfer document which you should sign and return to Tynecastle. Full shares certificates will then be issued. There will be no cost involved for the administration or issue of the certificates but those who have a sum of more than one thousand pounds in the fund may have a stamp duty liability.

This is because the status of the SOH shareholders has not yet been agreed with the club. In January we were told that we would receive a response after the transfer window had closed in January but the issue has still not been resolved. We spoke with the club March 31 2009 and were told that the response would be made by Sergejus Fedotovas. Our next communication with everyone will be at the end of April when the Trust AGM papers are sent out, we all hope the situation will be resolved by this time.April 02 2009: Shares Available to SupportersHOMST have been offered around 130,000 Heart of Midlothian shares at 25p per share. The Trust is not in a position to take up this offer in full but would be happy to organise purchase for individuals if enough people are interested. The minimum purchase would be 800 shares at £200. November 24 2008: SOH Shares - Final Piece of the Jigsaw .....HOMST now holds shares in proxy for all those who have funds left in the SOH fund.We are in the process of getting certificates issued with details of how many shares we hold in proxy for each contributor (price paid was 35p per share, and we have not charged any admin fees). Before we can actually print and send out these certificates we need to get written confirmation from Hearts that all shareholders will have the same rights as ordinary shareholders. We have had verbal confirmation and are seeking to get this in writing before we print and send out the certificates. We appreciate this has been a long and frustrating process but we are almost there!! The share certificate for 250,000 shares in HMFC has been received (11 July 2008). These shares will now be transferred to HOMST and then certificates will be issued to all those who left funds of £100 or greater in the SOH fund. We hope to complete this process by September 2008. Shares will be held on behalf of members' by HOMST but the individuals will have the same rights as ordinary share holders. All contributors will receive one years free membership of HOMST. |
